Return Policy
The following terms and conditions covering Vident products, equipment, and price lists are subject to change by Vident without prior notice.
Orders. Orders may be placed by mail, telephone, facsimile, e-mail or directly with a Vident salesperson. The buyer should include name, address (with zip or postal code), and Vident account number with any order. To facilitate accurate order fulfillment, the buyer should be as specific as possible and include the Vident product number, the desired quantity, and any descriptive information such as size and color shade, wherever indicated. There is no minimum order. For orders under $30 ($35 Canadian), a processing fee of $5 ($6.00 Canadian) will be applied. Some items shown in Vident’s catalog may be available by special order only and may be shipped separately from your original order. In all cases, efforts will be made to consolidate shipments.Vident reserves the right to reject any order in its sole discretion.
Price and Terms of Payment. Prices for products are those in effect at the time of purchase. For current retail prices, call Vident. Each shipment will be accompanied by an itemized packing slip. An invoice will either be included with the shipment, or will be delivered separately. Except in those cases where C.O.D. payment is specified or a credit card is used, buyer agrees to pay the full amount due on each invoice within thirty (30) days of the invoice date. All or any portion of an invoice amount which has not been paid within thirty (30) days of the invoice date, will accrue service charges at the rate of one and three-quarters percent (1 3/4%) per month, but in no event in excess of the maximum legal rate, commencing thirty (30) days after the invoice date. Returned checks are subject to a $25 ($29 Canadian) charge. Payment by Visa, Master Card or American Express is available.
Credit Approval. All orders, shipments and deliveries at all times shall be subject to the approval of buyer’s credit by Vident’s Finance Department. Vident reserves the right to decline to make deliveries whenever, for any reason, there is doubt as to buyer’s financial responsibility, and Vident shall not, in such event, be liable for nonperformance of contract in whole or in part.

Taxes. The buyer will be responsible for all applicable sales, excise and GST taxes which will be added to the sale price on each invoice and are due and payable on the same terms as the sales price. For tax exemption, please contact Vident at (800) 828-3839.
Shipments. Usually, products will be sent via ground carrier unless otherwise specified by Vident. Equipment will usually be sent via air freight. The buyer will be responsible for the shipping, handling and insurance costs, which will be prepaid by Vident and added to the sale price on each invoice. These charges are due and payable on the same terms as the sales price. COD shipments will be made at Vident’s discretion and will be subject to the carrier’s COD surcharges. Shortages or shipment errors must be reported within seven (7) business days of invoice date to be eligible for credit or adjustment as appropriate.
Title and Risk of Loss. Title of the product and/or equipment passes to the buyer at the time of shipment. Buyer assumes all risk of damage to or loss or destruction of the product and/or equipment shipped, and no loss, injury or destruction of the product and/ or equipment shall release buyer from buyer’s obligations to Vident.
Return Policy. No returns will be accepted without prior authorization from Vident. A buyer first must obtain a return authorization number from the Vident Customer Service Department. The return authorization number must be included with the return.
Standard Catalog Products. Except as indicated below, Standard catalog products may be returned within thirty (30) days of the date of shipment; provided, however, that return will only be granted if all the following conditions are met:
- The buyer obtains a return authorization number from the Vident Customer Service Department.
- The product and/or equipment is unused, in resalable condition, in original packaging, unmarked, with seals and labels intact.
- A copy of the invoice of sale, a written reason for the return and a copy of the return authorization accompanies the product and/or equipment.
- The product and/or equipment is returned with shipping costs and insurance prepaid, at the buyer’s expense to:U. S. Customers: Vident, 3150 E. Birch Street, Brea, CA 92821

- The return is made within thirty (30) days or sixty (60) days of the date of the original shipment (see below).
If the above conditions are met and if in Vident’s reasonable judgment the return is due to a defective product and/or equipment or Vident’s error, the product or equipment will be exchanged or a full credit or refund will be issued, at Vident’s discretion. For any returns received between thirty-one and sixty (60) days after the date of shipment, a restocking charge equal to fifteen percent (15%) of the value of the return, or $10.00 ($12 Canadian) for returns of less than $70.00 ($80 Canadian) will be deducted from the credit or refund, provided that a credit or refund will only be granted if the conditions specified in A, B, C, D and E above are met. No returns will be accepted later than sixty (60) days from the shipment date.
Special Returns. Alloys and Galvanoforming Solutions: Refunds or credits for returns of high noble and noble alloys, as well as galvanoforming solutions, will be based upon the market price on the date Vident receives the return, but in no event will the credit or refund exceed the original purchase price. These materials must be unused and in original sealed packages, with seals intact.

No Return of Certain Products. Special order products and custom products (including custom packaging), equipment, products requiring refrigeration, products within 9 months of their expiration date, opened chemical products, shade guides in packaging with broken seals, video tapes, DVDs, CDs and books may not be returned.
Changes. Because products and equipment are continually undergoing refinement in design and manufacturing methods, Vident reserves the right to improve, modify or discontinue products or equipment or change pricing at any time without incurring any obligation and without prior notice.
Errors. Vident reserves the right to correct clerical or stenographic errors or omissions in its terms, conditions, price lists, or invoices.
LIMITED WARRANTY AND LIMITATION OF REMEDIES: VIDENT WARRANTS ALL PRODUCTS AND EQUIPMENT TO BE FREE FROM DEFECTS IN MATERIAL AND WORKMANSHIP UNDER NORMAL USE AND MAINTENANCE. THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, AND THERE IS NO WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE BUYER’S EXCLUSIVE REMEDY AND VIDENT’S SOLE OBLIGATION UNDER THIS WARRANTY IS LIMITED TO ONE OF THE FOLLOWING, AT VIDENT’S SOLE DISCRETION: REPLACEMENT OR REPAIR OF THE PRODUCT OR A REFUND OF THE PURCHASE PRICE. VIDENT SHALL NOT BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES. THE BUYER’S CAUSE OF ACTION FOR BREACH OF ANY WARRANTY WILL BE BARRED UNLESS VIDENT RECEIVES WRITTEN NOTICE AT THE ADDRESS SET FORTH BELOW WITHIN THE APPLICABLE WARRANTY PERIOD.
To make a warranty claim, written notice of an alleged defect or other breach of warranty should be sent to Vident at 3150 E. Birch Street, Brea, California 92821 within the applicable warranty period.
Vident Education and Training
Course Registration and Cancellation Policy
Course Registration. Course tuition fees are due at the time of registration. Payment may be made by credit card or check. Customers with open accounts in good standing at Vident may charge tuition fees to their accounts.
Course Cancellations. Vident reserves the right to cancel courses at any time and will provide as much advance notice as is reasonably possible. Vident’s obligation in such instances shall be limited to credit of tuition paid for a future Vident course or refund of paid tuition. Course registrations may be cancelled by the registrant at any time. Paid course tuition will be refunded or credited to a future Vident course based on the following schedule:

Attorney’s Fees. In the event of a dispute between Vident and the buyer arising out of or relating to an order, Vident shall be entitled to recover from the buyer all reasonable fees, costs and expenses, including, without limitation, reasonable attorneys’ fees and expenses.
Force Majeure. Should Vident delay or fail to effect delivery or shipment by reason of causes beyond its control, at Vident’s option the time of shipment may be extended, or a part or all of an order may be canceled without liability. Such causes shall include but not be limited to acts of God, acts of government, wars, revolutions, strikes, floods, droughts, fires, storms, snow, perils of the sea, unavoidable interruption of transportation, and unavailability of essential materials. In such cases Vident shall notify buyer in writing of the occurrence of such contingency as soon as possible.
Arbitration. Any controversy or claim arising out of or relating to an order subject to these terms and conditions shall be settled by final and binding arbitration in California in accordance with the rules of the American Arbitration Association, provided that the parties reserve the right to conduct discovery and pursuant to California Code of Civil Procedure Section 1283.1(b). California Code of Civil Procedure Section 1283.05 is hereby incorporated into any arbitration proceedings.
Choice of Law. The rights and obligations of Vident and buyer will be governed by the laws of the State of California, except for any such law that would require the laws of another jurisdiction to apply.
Buyer’s Acceptance. By placing an order with Vident, the buyer agrees to the terms and conditions contained herein. In the event of conflict between these terms and conditions and the terms and conditions of any purchase order or other writing submitted by buyer to Vident, the terms and conditions contained here shall supersede the terms and conditions of such purchase order or other writing.
